General Terms and Conditions (GTC)of Tripple Z East Africa Limited
1. Scope
1.1 These General Terms and Conditions (GTC) apply to all contracts for the sale and delivery of goods (especially used solar modules, inverters, and accessories) concluded between TRIPPLE Z EAST AFRICA Limited (“Seller”) and the Buyer.
1.2 Deviating terms of the Buyer shall only apply if expressly confirmed in writing by the Seller.
1.3 Changes or amendments to these GTC require written form.
1.4 These GTC apply only to business transactions with entrepreneurs.
2. Offers and Conclusion of Contract
2.1 Offers of the Seller are non-binding and without obligation, unless explicitly designated as binding.
2.2 A contract is concluded only upon written order confirmation by the Seller or signing of a sales contract.
2.3 Product descriptions, data sheets, or brochures do not constitute a guarantee, but are for information only.
2.4 Used goods are sold strictly “as seen”.
3. Prices and Payment Terms
3.1 All prices are net ex warehouse Tanzania, plus applicable taxes, duties, and transport costs.
3.2 Unless otherwise agreed, the purchase price is payable without deduction within 5 days after invoicing.
3.3 Payments shall be made in Tanzanian Shilling (TZS) or – if agreed in writing – in US Dollars.
3.4 In case of late payment, the Seller may charge default interest of 9% p.a.
3.5 Offsetting or retention rights of the Buyer are excluded, unless the counterclaim is undisputed or legally established.
4. Delivery
4.1 Delivery dates are non-binding, unless expressly confirmed in writing as binding.
4.2 Force majeure orcomparable circumstances (e.g. natural disasters, government interventions, transport problems, supply shortages) entitle the Seller to postpone delivery or withdraw from the contract.
4.3 Partial deliveries are permitted, provided they are reasonable for the Buyer.
4.4 Risk passes to the Buyer upon handover of the goods to the Buyer or the carrier.
5. Retention of Title
5.1 The goods remain the property of the Seller until full payment has been received.
5.2 The Buyer shall handle the goods with care and may not resell them without the Seller’s written consent until payment is completed.
6. Warranty / Used Goods
6.1 Used goods are sold without any warranty. “Sold as seen.”
6.2 Technical data, performance values, or quantity information of used solar modules, inverters, or accessories
are non-binding and deviations shall not constitute defects.
6.3 For new goods, only the manufacturer’s warranty applies; the Seller does not provide any additional guarantees.6.4 Complaints must be reported in writing immediately, at the latest within 3 working days after delivery.
7. Liability
7.1 The Seller shall only be liable for intent and gross negligence.
7.2 Liability for indirect damages, consequential damages, or lost profits is excluded.
7.3 This limitation of liability shall not apply to damages resulting from injury to life, body, or health.
8. Data ProtectionThe Seller processes personal data of the Buyer exclusively for contract execution and in compliance with the Data Protection Act of Tanzania (2022). Data may only be shared with third parties where necessary for contract fulfillment.
9. Place of Performance, Jurisdiction, Applicable Law
9.1 Place of performance and jurisdiction is the registered office of the Seller in the United Republic of Tanzania.
9.2 The laws of the United Republic of Tanzania shall exclusively apply.
10. Severability ClauseIf any provision of these GTC is invalid or unenforceable, the validity of the remaining provisions shall not be affected. The parties undertake to replace the invalid provision with a legally permissible provision that comes closest to its economic intent.
